Experience:
Ross Jacobson joined the firm as of counsel in the Seattle office. He has significant expertise in the following matters:
- Business acquisitions and sales including numerous retirement center acquisitions, generally including both the business and real property, nursing home acquisition and sale, pharmaceutical company acquisitions, insurance agency acquisitions, and numerous other small to large business acquisitions
- Business design and structure including shareholders' agreements, partnerships, LLC's and PLLC's
- Medical clinic and practice design and structure, physician employment and compensation plans and agreements, medical clinic mergers and acquisitions
- Multi-unit franchiser representation
- Technology and E-commerce transactions including software licensing, technology transfer, technology licensing, web site production, web site joint ventures, web site design contracts, and software distribution
- Commercial real estate including purchase and sale agreements, leases, lease options, ground leases, and financing documentation and easements
- Corporate transactions including stock option plans (ISO and NSO), stock bonus plans, profit sharing plans and vesting plans and schedules
- Employment issues including employment and compensation plans and agreements; non-competition, non-disclosure, non-use agreements for a variety of businesses
Affiliations:
Ross is a member of the American Health Lawyers Association, Washington State Bar Association, WSBA Business and Real Estate sections, and the King County and East King County Bar Associations. In addition, he serves on the Board of Directors for the Eastside YMCA, is a member of the Board of Directors of the Bellevue Downtown Association, is Past Chair of the Bellevue Chamber of Commerce, Past President for the Rotary Club of Bellevue, and is the current Founding Co-Chair for the KidsQuest Children's Museum.
